MOL has also signed an agreement to purchase eni’s stake in Ceska Rafinerska, which is however has to be offered first to Unipetrol based on its pre-emption right.

Acquisition of 16.335% stake in Česká rafinérská from Shell
UNIPETROL, a.s. (“Unipetrol”) informs that on 7 November 2013 it signed a share purchase agreement (SPA) with Shell Overseas Investments B.V. (“Shell”) based on which Unipetrol will acquire from Shell 152,701 shares of ČESKÁ RAFINÉRSKÁ, a.s. (“Česká rafinérská”) amounting to 16.335% of the Česká rafinérská’s share capital (“Transaction”). The acquisition price for the shares in the amount of USD 27.2 million will be financed from own financial sources of Unipetrol.

Mero Čr Acquires An Ownership Interest In The TAL Pipeline
Companies MERO ČR, a.s. and Shell Deutschland GmbH are pleased to announce that on the 25th of September 2012 an SPA was signed under which MERO will acquire a 5% share in companies owning and operating The Transalpine Pipeline (TAL). Signing of this contract completes the long-term process of negotiations between the two companies. In accordance with the non-disclosure agreement signed by both parties, no details concerning the contracts (including the price of the transaction and other business terms) will be made public.

Expected Stop Of Crude Oil Processing In Refinery Paramo
UNIPETROL, a.s. hereby announces that it does not plan to resume the atmospheric and vacuum distillation processing of crude oil and the hydrotreater desulphurization of middle distillates in the subsidiary refinery PARAMO, a.s.

The decision was reached through a comprehensive analysis of the current macroeconomic situation, including low refining margins, lower demand for diesel or refining overcapacity in Europe.

One of the factors is also low complexity of the Paramo refinery. The company’s oil, lubricant and asphalt products will continue to be produced from intermediate grade distillates shipped in from other refineries.

At the Embassy of the Czech Republic in the Russian Federation, President of OAO "AK" Transneft "Nikolay Tokarev and CEO of the Czech company MERO Jaroslav Pantuchek signed the Supplementary Agreement number 1 for the renewal of the Memorandum of Understanding for 3 years. Currently the Memorandum is a document under which the companies is provided by an effective interaction and exchange of information on the process of transporting oil through the "Friendship" in the Czech Republic.

PKN ORLEN has signed an agreement with SOCAR for crude oil deliveries
Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN") informs that on 26 October 2011 it signed a spot agreement with Socar Trading S.A., Geneve, Switzerland („SOCAR”) for crude oil deliveries to Unipetrol RPA, s.r.o (“Unipetrol RPA”). The estimated net value of the agreement amounts to USD 67 million (i.e. approximately PLN 211 million, based on the average PLN/USD exchange rate as of 26 October 2011, as stated by the National Bank of Poland).

The opening of the Poland - Czech Republic gas pipeline
On 14th of September 2011, the opening ceremony of the gas pipeline interconnector between Poland and the Czech Republic took place in Polish Cieszyn and on the Czech side near Chotébuz village. The Prime Minister of the Czech Republic, Petr Neczas and the Prime Minister of the Republic of Poland, Donald Tusk, took part in the ceremony.

PKN ORLEN has signed an agreement with Star Oil FZE for crude oil deliveries to Unipetrol RPA
Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN") informs that on 20 June 2011 it signed a spot agreement with Star Oil FZE, United Arab Emirates („Star Oil”), for REBCO crude oil deliveries by "Druzhba" pipeline to Unipetrol RPA, s.r.o. (“Unipetrol RPA”) in July 2011. The estimated net value of the agreement amounts to approximately USD 85 million (i.e. approximately PLN 239 million, based on the average PLN/USD exchange rate as of 20 June 2011, as stated by the National Bank of Poland).

Temporary reduction of processing capacity in Litvinov refinery
UNIPETROL, a.s. announces that processing capacity of the Ceska Rafinerska was temporarily reduced in Litvinov refinery. Expected period of reduced processing capacity is approximately two weeks. This occurred due to ignition of the material within the sour water stripping column of hydrocracking unit during maintenance.

UNIPETROL, a.s. together with its partners in Ceska Rafinerska is doing maximum effort to limit negative effects of the event and leveraging to the maximum possible extent Kralupy refinery.
