DIALOG-Shareholders Agreement between Dialog LNG & PGB
The Board of Directors of Dialog Group Berhad (“DIALOG”) wishes to announce that its wholly owned subsidiaries, Dialog LNG Sdn Bhd (“Dialog LNG”) and Pengerang LNG (Two) Sdn Bhd (“PLNG-2”) have on 14 November 2014 entered into a Shareholders’ Agreement ("SHA") with PETRONAS Gas Berhad (“PGB”) for the development of Liquefied Natural Gas (“LNG”) regasification facilities comprising of a regasification unit and two (2) units of 200,000 m3 LNG storage tanks with an initial send out capacity of 3.5 million tonnes per annum (“MTPA”) (equivalent to approximately 490 million standard cubic feet per day (“MMscfd”) of natural gas at Pengerang, Southern Johor, Malaysia (“Pengerang LNG Project”). The total estimated project cost of the Pengerang LNG Project is approximately RM2.7 billion.

Petronas To Acquire Phillips 66 Interest In Malaysian Refining Company
PETRONAS today announced it has reached an agreement with Phillips 66 Asia Ltd, a subsidiary of Phillips 66 (NYSE: PSX), to acquire its 47 percent interest in Malaysian Refining Company Sdn Bhd (“MRC”), which will result in PETRONAS wholly owning MRC.

PETRONAS’ Datuk Wan Zulkiflee Wan Ariffin, Chief Operating Officer and Executive Vice President & CEO Downstream, said, “Our acquisition of Phillips 66’s interest in MRC will enable us to realise greater synergy between our refineries in Melaka and it will also strengthen our presence in the refining and trading businesses.”

He added PETRONAS has an excellent working relationship with Phillips 66 over the years that is expected to continue.

"Phillips 66 is pleased with the agreement to sell its share of Malaysian Refining Company to PETRONAS,” said Larry Ziemba, executive vice president of Refining for Phillips 66. "This divestiture allows us to redeploy resources to more strategic areas of our business. PETRONAS has been a strong partner over the years and we value our relationship.”

Under the terms of the agreement, PETRONAS will pay USD 635 million in cash with adjustment at completion. Both parties anticipate the transaction to be completed on 31 December 2014.

MRC was commissioned in 1998 and has a refining capacity of 170,000 barrels per day. The refinery is located in Melaka, Malaysia.

Technip and Fluor awarded RAPID UIO project in Malaysia
Technip, in a joint venture with Fluor, was awarded an engineering, procurement and construction management contract by PRPC Utilities and Facilities Sdn. Bhd. for the PETRONAS Refinery and Petrochemical Integrated Development (RAPID) project located in the state of Johor, Malaysia. Under this contract, the Fluor and Technip joint venture will be responsible for the utilities, interconnecting and offsites (UIO) scope of work.

Sinopec Refining Engineering Wins Petronas Contract
Recently, Sinopec Refining Engineering (Group) Co., Ltd. (SEG) won the bid for Petronas greenfield refinery project. The project includes 15 million tons / year of atmospheric distillation, 8.8 million t / year residual oil hydrogenation and other core process units. The contracts for the engineering, procurement, construction, commissioning (EPC) are worth approximately $ 1.329 billion.
