The initial 60-mile segment from Mont Belvieu to Beaumont, Texas began service in September of 2014, followed by the 48-mile portion from Beaumont to Lake Charles, Louisiana in September of 2015. The remainder of the Aegis pipeline, which will extend to the Mississippi River corridor area, is on schedule for completion by the end of 2015.

The incremental capacity being offered reflects the continued strong interest in the Aegis pipeline and marks the second supplemental open season to expand the system. The expanded capabilities of the Aegis system, which are being achieved by the addition of pumps and related infrastructure, is expected to come online in stages through 2019, depending on the level of customer commitments.

Enterprise expects to record non-cash asset impairment and related charges of approximately $100 million, or $0.05 per common unit on a fully-diluted basis in connection with the sale of its offshore Gulf of Mexico pipelines and services business. Since these assets were viewed as held-for-sale at June 30, 2015, these non-cash charges will be reflected in Enterprise’s consolidated results for the three and six months ended June 30, 2015.

• Enterprise to Sell Offshore Gulf of Mexico Business to Genesis

“Enterprise is very pleased to enter into this agreement and provide the midstream services necessary to support the continued growth of the petrochemical industry along the Gulf Coast,” said Michael A. Creel, chief executive officer of Enterprise’s general partner.

The Aegis pipeline, which originates at Enterprise’s natural gas liquids fractionation and storage complex in Mont Belvieu, Texas, extends 270 miles to Napoleonville, Louisiana. The initial 60-mile segment between Mont Belvieu and Beaumont, Texas began service in September of 2014. The remaining portion is scheduled for completion by the end of 2015. Capacity on the pipeline can be expanded to approximately 400,000 BPD.

When completed, Aegis will be part of a 500-mile ethane header system stretching from Corpus Christi, Texas to the Mississippi River. This header system will serve as a major ethane supply artery for more than 20 petrochemical facilities expected to represent over 90 percent of domestic ethylene production capacity by 2020.

• Enterprise Signs Additional Commitment for Aegis Ethane Pipeline

The new pipeline will have the capability to provide up to 540,000 barrels per day (“BPD”) of take-away capacity for growing volumes of crude oil, and condensate from the Permian Basin. Service is expected to begin in the second quarter of 2017.

The hydrocarbons will be gathered by trucks and pipelines into Enterprise’s Midland terminal and then delivered in up to four segregated batches to Sealy. The different grades of hydrocarbons handled by the Midland-to-Sealy pipeline include West Texas Sour, West Texas Intermediate, Light West Texas Intermediate and condensate. Enterprise is in the process of adding incremental storage capacity to support the new pipeline and the existing West Texas Gathering System.

“The commitments we received for the Midland-to-Sealy pipeline reflect the long-term, positive outlook producers have for the Permian Basin and the value provided by this logical expansion of our integrated energy value chain,” said Michael A. Creel, chief executive officer of Enterprise’s general partner. “In addition to facilitating crude oil and condensate production from one of our most important domestic basins, the Midland-to-Sealy pipeline will provide customers with adequate supply out of the Permian Basin and unsurpassed market access to the vast Gulf Coast refining complex, as well as dock access necessary for growing export opportunities.”

Creel added, “Proper segregation is essential when transporting batched products and we take that responsibility very seriously. In support of that commitment Enterprise has implemented a system designed to ensure the company complies with all appropriate regulations.”

Enterprise now has approximately $7.5 billion of capital growth projects under construction, several of which will benefit customers on the new Midland-to-Sealy pipeline. Specifically, the 36-inch diameter Rancho II pipeline, which extends 88 miles from Sealy, to the ECHO terminal, will have over one million BPD of capacity for crude oil and condensate from the Permian Basin and the Eagle Ford Shale.

• Enterprise to Build New Crude Oil and Condensate Pipeline from Midland to Houston

Work is also progressing on construction of a new refrigeration train that will increase loading rates by another 11,000 BPH and is on schedule for completion in the fourth quarter of 2015. Once the final expansion phase has been completed, Enterprise will have the capability to load up to 16 MMBbls per month of LPG, which equates to 29 vessels.

Enterprise’s LPG terminal has been instrumental in transforming the U.S. into the largest propane exporter in the world and currently has approximately 1,800 cargoes scheduled from 2015 to 2024. To help ensure adequate supply to the docks, the partnership is in the final stages of completing a dedicated 30-inch diameter LPG pipeline from Mont Belvieu, Texas to the terminal.

• Enterprise Products Increases Loading Capacity at Houston Ship Channel LPG Export Terminal

• Enterprise Announces Results of Proposed Crude Oil Pipeline Open Season

The approval and adoption of the merger agreement require approval by holders of a majority of the outstanding Oiltanking Partners common units. A subsidiary of Enterprise, which will own a sufficient number of Oiltanking Partners common units to approve the merger on behalf of all Oiltanking Partners unitholders, has executed a support agreement with Oiltanking Partners in which it has irrevocably agreed to consent to the merger. This subsidiary will own approximately 54.8 million Oiltanking Partners common units, or approximately 66 percent of the total Oiltanking Partners common units then outstanding, following the conversion of approximately 38.9 million Oiltanking Partners subordinated units into common units. The one-for-one conversion of these subordinated units into common units will occur on November 17, 2014, the business day immediately following payment of the Oiltanking Partners cash distribution scheduled to be paid on November 14, 2014. Approval and adoption of the merger agreement will be submitted to a vote of the unitholders of Oiltanking Partners.

“We are pleased to announce the execution of this merger agreement that would result in the merger of Oiltanking Partners into Enterprise,” said Michael A. Creel, chief executive officer of the general partner of Enterprise. “The combination of Enterprise’s system of midstream assets and Oiltanking Partners’ access to waterborne markets and crude oil and petroleum products storage assets would extend and broaden Enterprise’s midstream energy services business. Upon completion of the merger, Oiltanking Partners unitholders would benefit from Enterprise’s scale, diversification and financial flexibility; visibility to growth driven by over $6 billion of capital projects under construction; a significant increase in cash distributions; and more daily liquidity from ownership of Enterprise common units.”

On October 1, 2014, Enterprise announced that it had acquired the general partner and related incentive distribution rights, 15,899,802 common units and 38,899,802 subordinated units in Oiltanking Partners held by Oiltanking Holding Americas, Inc. (“Oiltanking Holding”). Enterprise paid total consideration of approximately $4.41 billion to Oiltanking Holding comprised of $2.21 billion in cash and 54,807,352 Enterprise common units. Enterprise also paid $228 million to assume notes receivable issued by Oiltanking Partners and its subsidiaries. Enterprise also announced that it had submitted a proposal to the conflicts committee of the general partner of Oiltanking Partners to merge Oiltanking Partners with and into Enterprise. Under the terms of the proposal, Enterprise would have exchanged 1.23 Enterprise common units for each Oiltanking Partners common unit. The exchange ratio of 1.3 Enterprise common units for each Oiltanking Partners common unit represents a 5.7 percent increase compared to the exchange ratio in the earlier proposal.

Upon completion of the merger, which is expected to occur in early 2015, the total consideration paid by Enterprise for the Oiltanking Partners general partner and related incentive distribution rights and the limited partner units would be approximately $6.0 billion.

The merger terms were negotiated, reviewed and approved by the conflicts committee of the board of directors of the general partner of Oiltanking Partners and approved by the board of directors of the general partner of Oiltanking Partners. The Oiltanking Partners conflicts committee is comprised of the independent members of the board of directors of Oiltanking Partners’ general partner. As part of their evaluation process, the Oiltanking Partners conflicts committee retained Jefferies LLC as its financial advisor, Latham & Watkins LLP as its legal advisor and Richards, Layton & Finger, P.A. as its special Delaware legal advisor. Vinson & Elkins L.L.P. also acted as special legal counsel to Oiltanking Partners.

Citi acted as financial advisor and Andrews Kurth LLP and Akin Gump Strauss Hauer & Feld LLP acted as legal counsel to Enterprise.

The closing of the merger is subject to customary closing conditions, including effectiveness of a registration statement related to the issuance of new Enterprise common units to Oiltanking Partners’ unitholders.

• Enterprise Products and Oiltanking Partners Announce Merger Agreement

The Eagle Ford JV Pipeline system is a 50/50 joint venture between Plains and Enterprise that delivers crude oil and condensate via pipeline from Gardendale in La Salle County, Texas to the Three Rivers and Corpus Christi refineries and to other markets via marine transport facilities at Corpus Christi. Furthermore, the pipeline supplies the Houston-area market through a connection to the Enterprise Crude Pipeline terminal at Lyssy in Wilson County, Texas.

As part of the expansion, Plains and Enterprise will construct a new gathering system with approximately 55 miles of gathering and trunkline pipeline that will connect Karnes County and Live Oak County production areas to the Three Rivers terminal. The companies will also construct an additional 70 mile, 20-inch pipeline from Three Rivers to Corpus Christi as well as expand storage and pumping capacity at Three Rivers. Combined with the previously announced expansion, this project effectively loops the Eagle Ford JV Pipeline from Gardendale to Corpus Christi and increases the JV system capacity to over 600,000 barrels per day. The Eagle Ford JV Pipeline will be connected with the Cactus pipeline, which Plains is constructing from the Permian Basin at McCamey to the Eagle Ford JV Pipeline at Gardendale.

Plains and Enterprise will also build a new terminal on the Corpus Christi ship channel to support the increased volumes to be shipped via pipeline to the region. The dock will have the capacity to handle a variety of ocean-going vessels and is planned to be in service by 2017.

• Plains All American and Enterprise Products Announce Eagle Ford Joint Venture Pipeline Expansions, New Terminal

The South Eddy natural gas processing plant will have an initial capacity of 200 million cubic feet per day (“MMcf/d”) of natural gas, with the potential for future expansions. Upon completion, this will bring Enterprise’s total natural gas processing plant capacity in the Delaware Basin to 400 MMcf/d.

To supply the new plant, Enterprise plans to construct approximately 80 miles of natural gas gathering pipelines to complement its existing 1,500 miles of natural gas pipelines located in the Delaware Basin. Enterprise will also build a 75-mile, 12-inch diameter NGL pipeline to transport NGLs from the South Eddy plant to the company’s Hobbs NGL fractionation and storage facility in Gaines County, Texas. Through the connection at Hobbs, customers will have access to Enterprise’s integrated network of pipelines linking them to the company’s NGL fractionation and storage complex in Mont Belvieu, Texas. Additionally, Enterprise plans to construct pipelines to deliver residue gas from the South Eddy plant to multiple third party pipelines.

The Bakken-to-Cushing pipeline would have the capability to transport up to six grades of crude oil and products, including Rockies Condensate and Processed Condensate. Subject to sufficient customer commitments, the pipeline is expected to begin service in stages, starting with the DJ-to-Cushing portion in the fourth quarter of 2016, and should be fully operational by the third quarter of 2017.

The Jones Creek facility is connected to Enterprise's ECHO crude oil storage facility in Houston by a 65-mile, 36-inch pipeline. Construction of a 100-mile, 30-inch pipeline from ECHO to Beaumont / Port Arthur, Texas, is expected to be completed in July 2014. Commissioning of the Seaway Loop (Twin), as well as the new pipeline from ECHO to Beaumont/Port Arthur, will continue throughout the third quarter 2014.

In addition to the pipeline that transports crude oil from Cushing to the Gulf Coast, the Seaway system comprises a terminal and distribution network originating in Texas City, Texas, which serves refineries locally and in the Houston area. The Seaway system also includes dock facilities at Freeport and Texas City.

Enterprise also plans to construct a pipeline from its Mont Belvieu, Texas natural gas liquids fractionation and storage complex, providing direct access to ethane supply. As designed, the export terminal will have the capability to load fully refrigerated ethane at approximately 10,000 barrels per hour.

The facility is expected to begin operations in the third quarter of 2016. Enterprise has long-term contracts in place to support the terminal and is in discussions with other potential customers for the remaining capacity.

We estimate U.S. ethane production capacity currently exceeds U.S. demand by 300 MBPD and could exceed demand by up to 700 MBPD by 2020, after considering the estimated incremental demand from new ethylene facilities that have been announced. By providing new markets access to ethane, we are assisting U.S. producers to increase their production, which assures the U.S. will have access to abundant supplies of domestically produced natural gas and crude oil,” stated Creel.

The ethane export facility will be integrated with Enterprise’s Mont Belvieu complex, which includes over 650 MBPD of natural gas liquid (“NGL”) fractionation capacity and 100 million barrels of NGL storage capacity. The partnership’s Mont Belvieu facility receives NGL supplies from the major producing basins across the U.S. The Mont Belvieu complex is connected to growing supplies of ethane from the Marcellus and Utica shale regions through Enterprise’s recently completed ATEX ethane pipeline. Enterprise’s integrated NGL system will offer supply assurance and diversification for the export facility.

• Enterprise Products to Build Ethane Export Facility on Texas Gulf Coast

• Enterprise to Expand LPG Export Facility at Oiltanking on Houston Ship Channel

The 1,230-mile ATEX pipeline originates in Washington County, Pennsylvania and is, or will be, connected to four fractionators in the Marcellus/Utica Shale region. These plants include the MarkWest Houston plant in Pennsylvania and Cadiz plant in Ohio, the Blue Racer Natrium plant in West Virginia and the Utica East Ohio Scio plant in Ohio. ATEX will have an initial capacity of 125,000 barrels per day (“BPD”), expandable to at least 265,000 BPD. The project is supported by firm, ship-or-pay transportation agreements with 15-year terms. Approximately 65,000 BPD of those contracted volumes are expected to be transported initially, ramping up to more than 130,000 BPD beginning in 2018.

ATEX terminates at Enterprise’s Mont Belvieu, Texas complex which includes over 100 million barrels of natural gas liquid (“NGL”) and petroleum liquid storage capacity, more than 750,000 BPD of fractionation capacity and an extensive NGL distribution system. With the addition of its Aegis ethane pipeline now under construction, Enterprise will link Marcellus-produced ethane to every existing ethylene production facility in the U.S. and provide supply security to support construction of new crackers currently planned for the Gulf Coast. In addition, Enterprise’s distribution system supplies the partnership’s LPG export terminal on the Houston Ship Channel and a second export terminal that is under development, which could ultimately provide U.S.-produced ethane to international markets.

The Eagle Ford JV Pipeline system, most of which is currently in service and expected to be completed by September 30, 2013, is a 50/50 joint venture between Plains and Enterprise that serves the Three Rivers and Corpus Christi refineries and other markets via marine transport facilities at Corpus Christi. The pipeline supplies the Houston-area market through a connection to the Enterprise Crude Pipeline terminal at Lyssy in Wilson County, Texas.
